Partnership Offer Agreement

1. General Provisions

LLP 'Shadowsurf', BIN 260840026560 (hereinafter referred to as the Company), offers individuals and legal entities (hereinafter referred to as the Partner) participation in the Simato partnership program (simato.ru) under the terms of this public offer.

The partnership program is intended for travel agencies, tour operators, bloggers, hotels, and other individuals who attract customers to purchase digital eSIM keys through the Simato service.

2. Subject of the Agreement

The Company provides the Partner with:

• A unique partner code and referral link to attract customers
• Access to the partner's personal account with statistics on transitions, orders, and accruals
• Reward (commission) from each successful payment made by a customer attracted by the Partner
• Technical and informational support regarding the partnership program

3. Registration and Acceptance

To participate in the program, the Partner:

• Registers on the website simato.ru and fills out the partner registration form
• Confirms agreement with this offer and the Privacy Policy
• Provides accurate information: type of activity, full name or name of the organization
• If necessary, supplements the details for payments in the personal account

4. Commission and Partner Levels

The commission rate depends on the partner level and ranges from 5% to 15% of the amount of the customer's paid order (excluding taxes and payment system fees):

• Starter level — 5% commission
• Intermediate level — 10% commission (upon reaching the established sales volume)
• Premium level — 15% commission (upon reaching the increased sales volume)

The commission is accrued only on orders that have been paid and not returned by the customer. Conditions for transitioning between levels are displayed in the partner's personal account.

5. Procedure for Accrual and Payments

The reward is accrued after confirming the successful payment of the order by the customer who followed the partner link or provided the partner code during registration/payment.

• The minimum amount for withdrawal is specified in the personal account
• Payments are made to the Partner's bank details (individual entrepreneur, LLC, self-employed)
• The processing time for withdrawal requests is up to 10 business days
• The Partner independently pays taxes on the received reward in accordance with the legislation of their country

6. Rights and Obligations of the Partner

The Partner undertakes to:

• Use partner materials in good faith and not mislead customers
• Not place advertisements on resources that violate the law or the rights of third parties
• Not use spam, manipulation, or other unfair methods of attraction
• Not impersonate a telecommunications operator or an official representative of mobile operators
• Not resell eSIM keys bypassing the website simato.ru
• Comply with legislation on advertising and personal data protection

7. Rights and Obligations of the Company

The Company undertakes to:

• Accurately account for transitions and orders related to the partner code
• Timely accrue commission on confirmed payments
• Ensure the operation of the personal account and technical support
• The Company has the right to change the commission rate and program conditions with notification on the website. Changes do not apply to already confirmed accruals.

8. Limitation of Liability

The Company is not liable for:

• The quality of communication and the operation of partner mobile operators
• The Partner's losses related to the actions of attracted customers
• Technical failures of payment systems and force majeure circumstances

The Company's aggregate liability to the Partner is limited to the amount accrued but not paid commission.

9. Term and Termination

The agreement is valid from the moment of acceptance of the offer until its termination by either party. The Company has the right to suspend or terminate the Partner's participation in case of violation of the terms of the offer, fraud, or abuse of the partnership program. The Partner has the right to terminate participation by sending a notification to support@simato.ru.

10. Applicable Law

This offer is governed by the legislation of the Republic of Kazakhstan. Disputes are resolved through negotiations, and if no agreement is reached — in the manner established by the legislation of the Republic of Kazakhstan.
